1. Acceptance of Terms
By creating an account or using MarginFlag, you agree to these Terms of Service. If you do not agree, do not use the service. These terms apply to all users, including free-tier users, paying subscribers, and team members invited by a subscriber.
2. Description of Service
MarginFlag is a software-as-a-service (SaaS) tool that helps marketing agencies track per-client profitability, delivery margins, and financial performance. Features vary by plan (Free, Pro, Business). We reserve the right to modify features, pricing, or plan limits with 30 days' notice.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use MarginFlag. One person or entity may not maintain more than one free account.
4. Payment & Billing
Paid plans are billed monthly via Stripe. All fees are in US dollars and are non-refundable except as required by law. We offer a 7-day free trial for new Pro and Business subscribers. Your subscription renews automatically unless canceled before the renewal date. If payment fails, we will attempt to charge your payment method up to 3 times before suspending your account.
5. Your Data
You retain ownership of all data you enter into MarginFlag. We do not claim any intellectual property rights over your content. You grant us a limited license to store, process, and display your data solely for the purpose of providing the service. We will not share your data with third parties except as described in our Privacy Policy.
6. Acceptable Use
You may not use MarginFlag to: violate any laws or regulations, transmit malicious code, attempt to gain unauthorized access to other accounts, resell or redistribute the service without authorization, or use the service in any way that could damage or impair it.
7. Service Availability
We strive for high availability but do not guarantee 100% uptime. We are not liable for interruptions due to maintenance, third-party service outages, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance.
8. Limitation of Liability
MarginFlag is provided "as is" without warranty of any kind. We are not liable for any financial decisions made based on data displayed in MarginFlag. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding any claim. We are not liable for indirect, incidental, special, or consequential damages.
9. Cancellation
You may cancel your subscription at any time through your account settings or by emailing support@marginflag.com. Upon cancellation, you retain access until the end of your current billing period. After that, your account will be downgraded to the Free plan. Data associated with paid features will be retained for 30 days before deletion.
10. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days in advance. Continued use of the service after changes take effect constitutes acceptance.
11. Governing Law
These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of Santa Barbara County, California.
